Marvell Bets Billions On Optical Connectivity

Marvell Technology is making one of the semiconductor industry's largest acquisition bets, agreeing to purchase optical components manufacturer Lumentum in a transaction valued at approximately $115 billion, including debt. The deal reflects growing demand for faster connections between the powerful processors supporting artificial intelligence.
The all-stock agreement combines Marvell's expertise in custom chips and networking technology with Lumentum's optical components, including lasers used in data centres and communications networks.
Lumentum shareholders will receive 4.5 Marvell shares for each share they own, giving them approximately 33% of the combined company. The equity value of the transaction stands at $102.54 billion, representing a 23.9% premium to Lumentum's unaffected share price.
The acquisition has received unanimous approval from both companies' boards and is expected to close during the first half of 2028, subject to regulatory review.
Marvell chief executive Matt Murphy will continue leading the combined business. The company expects the transaction to expand its addressable market to approximately $550 billion.
The strategic rationale centres on the changing architecture of AI computing. As data centres become larger, transferring information efficiently between processors is becoming increasingly important. Optical connectivity offers opportunities to improve transmission speeds while reducing the energy required to move enormous volumes of data.
For the technology industry, the acquisition could reshape competition among semiconductor suppliers. Marvell is seeking a stronger position against Broadcom and other companies providing specialised hardware to major cloud operators. However, the transaction also arrives as investors question the sustainability of AI infrastructure spending, making its considerable valuation an important commercial risk.
Both companies have attracted attention from Nvidia, which invested in their optical technology capabilities earlier this year.
The proposed combination represents confidence in the long-term expansion of AI computing. Its success will depend on completing the acquisition, integrating the businesses and converting demand for advanced connectivity into sustainable earnings.
